TERMS & CONDITIONS
General Terms and Conditions for Output Products and Services
These General Terms and Conditions (“Terms”) apply to all orders of design, engineering, visualization, master planning, animation, terrain modeling, and related digital products or services ordered by you (the “Client”) from Output Company (“Output”).
By placing an order, the Client agrees to be bound by these Terms unless otherwise agreed in writing under a separate agreement.
1. Definitions
Project
The delivery of the agreed scope of services and final outputs within the approved schedule.
Order
The legal agreement between the Client and Output specifying scope, schedule, deliverables, milestones, and fees.
Product
The final deliverable of a project, including but not limited to:
- master plans
- digital visualizations
- still renders
- cinematic animations
- terrain models
- engineering layouts
- technical concept outputs
- interactive visual tools
Assets and working files are excluded unless explicitly agreed.
Asset
Any digital material used to create the final Product, including:
- 3D models
- terrain data
- GIS inputs
- textures
- references
- stock images
- soundtracks
- video files
- engineering datasets
Work Files
All editable or source files produced during development, including:
- scene files
- PSD files
- CAD files
- GIS project files
- animation timelines
- terrain meshes
- simulation files
Schedule
Project start date, review milestones, lock dates, and final delivery date.
Confidential Information
Any information shared by either party and designated as confidential, including project materials, technical data, and business strategies.
2. Output’s General Service
Output delivers the agreed Products and services according to the approved scope, timeline, and commercial terms.
Ordering Process
- Client submits a written request or project brief.
- Output reviews scope and issues a proposal.
- Once approved in writing, the booking becomes confirmed.
- Written approval of scope, fee, and schedule also confirms acceptance of these Terms.
- A formal order summary may be issued before project start.
3. Scope Changes, Timeline Revisions, or Cancellation
Any changes requested after approval, including:
- design changes
- terrain updates
- camera revisions
- new animation sequences
- engineering adjustments
- additional review rounds
- delivery date acceleration
may require:
- revised milestones
- new deadlines
- additional fees
All additional work proceeds only after written confirmation from the Client.
Project cancellation after confirmation may result in invoicing:
- completed work portion
- reserved production time
- additional cancellation fee up to 15% of total order value
4. Project Completion
The Project is considered completed upon final delivery of the agreed Product.
The Client has 3 business days to provide written comments, required corrections, or concerns.
If no communication is received during this period, the Project shall be deemed accepted and fulfilled.
5. Standard Delivery Format
Final Products are delivered digitally through secure cloud transfer unless otherwise agreed.
Standard Formats
- Still Images → JPG / PNG / TIFF
- Animation → MP4 / MOV
- Masterplans → PDF / JPG / layered exports
- Terrain Models → OBJ / FBX / GIS compatible formats (if agreed)
- Technical layouts → PDF / CAD exports (if included)
Editable source files are excluded unless specifically licensed.
6. Payment Terms
Unless otherwise agreed:
- partial and final invoices are payable within 15 calendar days
- accepted currencies: USD / EUR / GBP / local equivalents
- payment method: wire transfer
Output reserves the right to pause production in case of delayed payments.
7. Intellectual Property & Licensing
Client Materials
All materials supplied by the Client remain the intellectual property of the Client or original rights holder.
The Client guarantees they have full rights to use and provide such materials.
Output Materials
All original visualizations, concepts, technical developments, models, and creative outputs produced by Output remain the intellectual property of Output unless otherwise agreed.
Usage License
Upon full payment, Output grants the Client a limited, perpetual, non-exclusive, non-transferable license to use the final delivered Product for its intended business purposes.
Source files, assets, and work files require separate written licensing.
8. Attribution
Unless otherwise agreed, Output retains the right to be credited as the creator of the delivered Products.
9. Publicity Rights
Output may showcase completed work in portfolios, presentations, website, and social channels only with Client approval.
Internal use for training, technical development, and quality improvement remains permitted.
10. Confidentiality & Data Protection
Both parties agree to protect all confidential information shared throughout the Project.
All personal, technical, and project-related data shall be handled in accordance with:
- applicable international data protection laws
- global privacy regulations
- commercially reasonable cybersecurity standards
- Output’s Privacy & Data Management Policy
This applies to:
- client files
- terrain data
- planning studies
- engineering inputs
- business strategies
- applicant / collaborator data
11. Exclusivity
If the Client requires exclusivity regarding a competition, destination, or concept, this must be requested in writing before project commencement.
12. Limitation of Liability
Output’s liability shall be limited to the total amount actually paid by the Client for the relevant Project.
13. Force Majeure
Neither party shall be liable for delays caused by events beyond reasonable control, including technical failures, cloud service interruptions, natural events, or governmental restrictions.
14. Dispute Resolution
Both parties agree to first seek resolution through direct good-faith negotiation.
If unresolved, disputes shall be governed by international commercial law principles and mutually agreed arbitration or jurisdiction standards.
15. Survival
Confidentiality, intellectual property, publicity, attribution, and liability clauses shall survive termination of the Project.
